CargoRoot is a product owned and operated by Darvik Innovative Private Limited ("Darvik", "we", "our", or "us").

By accessing or using CargoRoot, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

• Freight Forwarders
• NVOCCs
• Customs Brokers
• Transport Companies
• Warehouse Operators
• Importers & Exporters
• Logistics Service Providers

The Platform helps businesses manage shipments, documentation, customer relationships, invoicing, operations, reporting, and related logistics workflows.

03User Accounts

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate and complete information.
• Keep your account information updated.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activities performed under your account.
• Notify CargoRoot immediately of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms.

04Permitted Use

Subject to these Terms, CargoRoot grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your internal business operations.

By using the Platform, you grant CargoRoot a limited license to process, store, transmit, and display your data solely for the purpose of providing and improving the Services.

You are solely responsible for:

06Intellectual Property

CargoRoot, including its software, design, trademarks, logos, documentation, and content, is the exclusive property of Darvik Innovative Private Limited or its licensors.

Nothing in these Terms transfers any ownership rights to you.

You may not reproduce, copy, or use CargoRoot branding without prior written permission.

07Subscription & Payments

Certain features of CargoRoot may require a paid subscription.

By purchasing a subscription, you agree to:

Unless otherwise stated in a written agreement:

• Subscription fees are non-refundable.

The Platform may be temporarily unavailable due to:

Your use of third-party services is governed by their respective terms and privacy policies. CargoRoot is not responsible for the performance or availability of third-party services.

10Privacy

Your use of CargoRoot is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

By using CargoRoot, you acknowledge that you have read and accepted our Privacy Policy.

11Limitation of Liability

To the fullest extent permitted by applicable law:

• CargoRoot is provided on an "as is" and "as available" basis.
• We make no warranties regarding uninterrupted operation, accuracy, or fitness for a particular purpose.
• Darvik Innovative Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data arising from the use of the Platform.

Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the event giving rise to the claim.

12Indemnification

You agree to indemnify and hold harmless Darvik Innovative Private Limited, its directors, employees, affiliates, and partners from any claims, damages, liabilities, losses, or expenses arising out of:

• Your use of the Platform.
• Your violation of these Terms.
• Your infringement of any third-party rights.
• Any content or data uploaded by you.

13Suspension & Termination

We may suspend or terminate your access if:

• You violate these Terms.
• You engage in fraudulent or illegal activities.
• Payment obligations remain unpaid.
• Your activities pose a security risk to the Platform or other users.
• We are required to do so by law.

Upon termination, your right to use CargoRoot will immediately cease.

CargoRoot continuously evolves to improve user experience.

We may add, modify, replace, or discontinue features, integrations, or functionality without prior notice, provided such changes do not materially affect our contractual obligations.

15Changes to These Terms

We may revise these Terms from time to time.

Updated versions will be posted on our website with the revised "Last Updated" date.

Continued use of CargoRoot after any update constitutes acceptance of the revised Terms.

16Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising from or relating to these Terms or the use of CargoRoot shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, India.
